Terms of Service

1. Acceptance of Terms

By accessing or using Ace Studies (the "Platform"), you confirm that you are at least 13 years old and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

2. Accounts & Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your password and for all activity under your account. You must notify us immediately at support@vecronixai.com if you believe your account has been compromised.

You may not create more than one free account. Creating multiple accounts to circumvent plan limits is prohibited and will result in suspension.

3. Licence to Use

Subject to these Terms, Ace Studies grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial educational purposes.

This licence does not include the right to: sublicense, sell, or transfer the Platform; copy, reproduce, or distribute Platform content; reverse-engineer or attempt to extract source code; or use automated tools (bots, scrapers) to access or collect data from the Platform.

4. Acceptable Use

You agree not to use the Platform to:

Violation of these rules may result in immediate account suspension without refund.

5. Intellectual Property

All content on the Platform including questions, explanations, graphics, branding, software, and UI is owned by Ace Studies or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create or upload (e.g. custom study notes). By uploading content, you grant Ace Studies a non-exclusive licence to use it for operating the Platform and improving our services.

6. Subscriptions & Payments

All prices are in USD and exclusive of applicable taxes. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are offered within 7 days of initial purchase if you have not completed more than 5 exam sessions.

6. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses. Ace Studies content is for educational purposes only and does not constitute professional advice of any kind.

Results on our platform do not guarantee equivalent performance in real examinations. Actual exam outcomes depend on many factors beyond our control.

7. Limitation of Liability

To the maximum extent permitted by law, Ace Studies's total liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD 100.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.

8. Termination

You may delete your account at any time from your account settings. We may suspend or terminate your access immediately, with or without notice, if you breach these Terms or if we discontinue the Platform.

Upon termination, your licence to use the Platform ceases. Provisions that by their nature should survive termination (intellectual property, limitation of liability, dispute resolution) will continue to apply.

9. Governing Law & Disputes

These Terms are governed by the laws of Sri Lanka without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Colombo, Sri Lanka, conducted in English.

Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

10. Changes to Terms

We may revise these Terms at any time. We will notify you of material changes by email and in-app notice at least 14 days before they take effect. Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms.
